These Terms of Service (“Terms“) constitute a legally binding agreement between you (“User,” “you,” or “your“) and Novechon Technology Private Limited (“Company,” “we,” “us,” or “our“), a private limited company incorporated under the Companies Act, having its registered office at 81A, Kalpataru Habitat, Dr. S. S. Rao Rd, Parel, Mumbai, Maharashtra, 400 012, India.
These Terms govern your access to and use of the Alchemic platform, website, and related services (collectively, the “Services“).
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, OR BY CLICKING “I AGREE,” YOU INDICATE YOUR ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE THE SERVICES.
1. Eligibility and Account Creation
To use the Services, you must be strictly competent to contract as per the Indian Contract Act, 1872. This means you must be at least 18 years of age and of sound mind.
By creating an account, you represent and warrant that:
- You are at least 18 years old.
- Any registration information you submit is truthful, accurate, and complete.
- You will maintain the accuracy of such information.
You are solely responsible for maintaining the confidentiality of your login credentials (username and password) and for all activities that occur under your account. You agree to notify us immediately at [email protected] (or the designated contact email) of any unauthorized use or suspected breach of security.
2. License and Use of Services
Subject to your strict compliance with these Terms, Novechon Technology Private Limited grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for their intended business or research purposes.
You agree not to:
- Modify, disassemble, decompile, reverse engineer, or create derivative works of the Services.
- Rent, lease, loan, resell, sublicense, or otherwise commercially exploit the Services to any third party without our prior written consent.
- Use the Services to transmit any material that contains software viruses, worms, or any other harmful computer code.
Prohibited Content (IT Act Compliance): In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you shall not host, display, upload, modify, publish, transmit, store, update, or share any information that:
- Belongs to another person and to which you do not have any right.
- Is defamatory, obscene, pornographic, pedophilic, invasive of another’s privacy, including bodily privacy, insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable.
- Infringes any patent, trademark, copyright, or other proprietary rights.
- Threatens the unity, integrity, defense, security, or sovereignty of India, friendly relations with foreign states, or public order.
3. Intellectual Property Rights
The Services, including but not limited to the Alchemic platform code, design, features, functionality, and original content, are the exclusive property of Novechon Technology Private Limited and are protected by Indian and international copyright, trademark, and intellectual property laws.
Nothing in these Terms grants you a right or license to use any of the Company’s trademarks, service marks, logos, or trade names without our express written permission.
4. User Content and Data
“User Content” refers to any text, images, audio, video, datasets, or other materials you upload, submit, store, or transmit through the Services.
- Ownership: You retain full ownership and intellectual property rights in your User Content.
- License to Company: By submitting User Content, you grant Novechon Technology Private Limited a limited, non-exclusive, worldwide, royalty-free license to use, store, reproduce, and process your User Content solely for the purposes of:
- (a) Providing, operating, and improving the Services;
- (b) Generating aggregated research insights for authorized organizations commissioning studies (where applicable);
- (c) Processing data in accordance with our Privacy Policy and the Digital Personal Data Protection Act (DPDP Act) (as applicable); and
- (d) Complying with legal and regulatory obligations.
- Data Security: We employ industry-standard security measures to protect your content. However, you acknowledge that no electronic transmission is 100% secure.
- Deletion: If you delete your User Content, we will use reasonable efforts to remove it from the Services, provided that we may retain copies for legal compliance, audit purposes, or as anonymized data for research as permitted by law.
5. Third-Party Services
The Services may contain links to or integrations with third-party websites or services (e.g., payment gateways, analytics tools) that are not owned or controlled by us. We accept no responsibility for the content, privacy policies, or practices of any third-party services. You access them at your own risk.
6. Termination
We reserve the right to suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. Sections regarding Intellectual Property, Indemnification, Limitation of Liability, and Governing Law shall survive termination.
7. Disclaimer of Warranties
The Services are provided on an “AS IS” and “AS AVAILABLE” basis.
To the fullest extent permitted under Indian law, Novechon Technology Private Limited expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Indirect Damages: In no event shall Novechon Technology Private Limited, its directors, employees, partners, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
- Liability Cap: Our total cumulative liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the total amount paid by you to us for the Services in the six (6) months preceding the claim.
9. Indemnification
You agree to defend, indemnify, and hold harmless Novechon Technology Private Limited and its officers, directors, and employees from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from:
- Your use of and access to the Services;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
- Any claim that your User Content caused damage to a third party.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India.
Dispute Resolution: Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra.

12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page or via email. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
